Gift cards terms and conditions

General Terms

Clover’s merchant Gift Cards are distributed by Clover Network, LLC ("Clover") on behalf of the merchant (the "Merchant") from which you bought them or on whose behalf they are sold. Although Clover is the channel through which such Gift Cards are sold, the contract governing the obligation, ownership, use and redemption of Gift Cards is between you and the Merchant. By purchasing a Gift Card on this site, you agree to these Terms and Conditions governing the sale and use of Gift Cards. If you are under the age of majority in your jurisdiction of residence, then you may only purchase Gift Cards with, and under the supervision of, a parent or guardian. 

Governing Law

The validity, interpretation, construction, and performance of these Terms shall be governed by the laws in effect in your Canadian jurisdiction of residence, or if you are a non-resident of Canada, the Canadian jurisdiction from which you placed the order.

Non-Refundability

Except where prohibited by law, all sales are final. You may not return, cancel or redeem for cash any Gift Card after it is purchased.

Lost or Stolen Gift Cards

If you suspect that a gift card has been copied, stolen or compromised in any way, please contact the Merchant. Gift Cards will not be replaced if lost or stolen without your confirmation and proof of purchase. Subject to confirmation by the Merchant, the remaining balance on a compromised Gift Card at the time of replacement may be re-issued on a new Gift Card. Gift Cards have monetary value and should be protected accordingly. In some jurisdictions, additional fees may be charged to replace a lost or damaged card.

Risk of Loss

Ownership and risk of loss of Gift Cards is transferred to the recipient of the Gift Card immediately upon completion of processing of the order. Neither Clover nor the Merchant are responsible for lost or stolen Gift Cards or the remaining balances on such Gift Cards. 

Gift Card Customer Service

If you need assistance or have any questions regarding the purchase or use of your Gift Card, or questions about your remaining balance please contact a Merchant retail location. Please have on hand your card number, your email address or your confirmation and proof of purchase.

Expiration 

Unless otherwise stated by law, or marked on the individual Gift Card, the Gift Cards have no expiration date and no maintenance fees. 

Purchasing

In order to purchase a Gift Card, you will need to provide certain information, including payment card and related billing information. Clover or the Merchant may request further information to validate the transaction. You warrant as part of the transaction that all information provided is both current and accurate.

Delivery Information

Neither Clover nor the Merchant is responsible for Gift Cards that are undeliverable or not received due to your failure to enter an accurate email address or other relevant delivery information for the recipient. Please contact a Merchant retail location in Canada and have your confirmation and proof of purchase or be ready to provide your email address available if that you have trouble receiving your Gift Card.

Limitations on Redemption 

The Gift Cards are redeemable for merchandise at the Merchant’s website, or in the Merchant’s retail locations in Canada. Gift Cards may not be exchanged for cash and cannot be used to make a payment on a credit account. 

Gift Cards may be used as partial payment on a purchase, except where otherwise provided by applicable laws.  

Items purchased with your Gift Card that are returned for a refund are subject to the Merchant’s Refund Policy.

Privacy

The Merchant and Clover collect, use, disclose and otherwise handle your personal information as described in their respective privacy policies. Clover may share information with the Merchant related to the purchase of the Gift Card and Clover may use such information to facilitate the delivery and functionality of the Gift Card service you are requesting.

Limitation of Liability

The laws of certain jurisdictions, including the province of Québec, do not allow the limitation of certain liability or damages. If these laws apply to you, some or all of the below exclusions or limitations may not apply to you and you may have additional rights.

To the extent permitted by applicable laws, in no event will the Merchant, Clover or their respective affiliates be liable to you for any: (a) direct, indirect, special, incidental, consequential or punitive damages; or (b) loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, or loss of data, arising out of or in connection with your purchase of a Gift Card, regardless of cause of action or the theory of liability, whether contract, tort (including negligence or gross negligence) or otherwise, even if we were notified in advance of the possibilities of such damages. If you are a consumer residing in Québec, the foregoing does not liberate us from the consequences of our own acts or those of our representatives.

Neither the Merchant, Clover, or their respective affiliates make any warranties or conditions, expressed or implied, with respect to Gift Cards, including without limitation, any expressed or implied warranty or condition of merchantability or fitness for a particular purpose. If a Gift Card code is non-functional, your sole remedy, and the Merchant’s sole liability shall be the replacement of such Gift Card in the amount of the verified remaining balance of such Gift Card at the time of replacement. Clover shall bear no liability for the replacement of any gift card for any reason whatsoever.

In the event that the Merchant becomes insolvent, makes a general assignment for the benefit of creditors, files a voluntary petition of bankruptcy, suffers or permits the appointment of a receiver for its business or assets, or becomes subject to any proceedings under any bankruptcy or insolvency law, whether domestic or foreign, or has wound up or liquidated, voluntarily or otherwise, any outstanding Gift Card balances (and remaining balances on such Gift Cards) will be redeemable only at the discretion of and to the extent deemed appropriate by the Merchant’s trustees or appointed representatives. Irrespective of the Merchant’s circumstances or the circumstances of the Merchant’s trustees or other appointed representatives, under no event shall Clover be liable to you or to any other party for the value of any Gift Cards, the outstanding balances on any Gift Cards or remaining balances on any Gift Cards.

Indemnification

You agree to indemnify and hold harmless the Merchant, Clover, their affiliates and their respective directors, officers, employees and agents, licensors, licensees, suppliers or successors from and against all claims and expenses, including reasonable legal fees, arising out of your purchase or use of a Gift Card.

Trademarks

You may not use the trademarks, logos, service marks or other proprietary designations of the Merchant, Clover or their partners or affiliates without containing prior written consent.
